1. Agreement to Terms

These Terms constitute a legally binding agreement between you and KEI Solutions regarding your use of our website and services. By using our services, you represent that you are at least 18 years old and have the authority to enter into this agreement.

2. Description of Services

KEI Solutions provides enterprise software solutions including:

• Averis WMS - Warehouse Management System
• Virel - Accounting Module
• Anga - BI & Analytics
• Kael - ERP System
• Liora - AI-Powered CRM
• Mondo - Unified Retail Platform
• KEI Net - Telecommunications

3. Subscriptions and Payments

3.1 Fees

Subscription fees are as specified in your order form or agreement. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

3.2 Payment Terms

Payments are due upon receipt of invoice. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

3.3 Taxes

You are responsible for all taxes associated with your subscription, excluding taxes based on our net income.

4. User Responsibilities

• Maintain the confidentiality of your account credentials
• Use services in compliance with all applicable laws
• Not to misuse, reverse engineer, or attempt to gain unauthorized access
• Not to upload malicious code or interfere with service operations
• Ensure your content does not infringe third-party rights

5. Data Ownership and Privacy

You retain all ownership rights to your data. We process your data in accordance with our Privacy Policy. We use industry-standard security measures to protect your data.

6. Service Level Agreement (SLA)

We guarantee:

• 99.9% uptime for core services
• 4-hour response time for critical issues
• 24/7 monitoring and support

7. Intellectual Property

KEI Solutions and its licensors own all rights to the services, including software, trademarks, and content. You receive a limited, non-exclusive license to use the services during your subscription term.

8. Confidentiality

Both parties agree to protect confidential information using reasonable care. Confidential information includes non-public business information, trade secrets, and proprietary technology.

9. Termination

Either party may terminate this agreement for material breach with 30 days' written notice. Upon termination, you must cease using the services and pay all outstanding fees.

10. Limitation of Liability

To the maximum extent permitted by law, KEI Solutions shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid during the 12 months preceding the claim.

11. Indemnification

You agree to indemnify KEI Solutions against claims arising from your violation of these Terms or applicable laws.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of courts in San Francisco County, California.

13. Changes to Terms

We may modify these Terms at any time. Continued use of services after changes constitutes acceptance. For material changes, we will provide 30 days' notice.
